The firm provides assistance to listed companies in respect of corporate governance and securities regulation. It also deals with issues relating to corporate and executive liability. The firm has an extensive know-how of shareholders agreements and shareholders disputes.

MERGERS & ACQUISITIONS

M & A transactions are the main business of the firm. The scope of the firm’s expertise encompasses all type of transactions involving both listed and unlisted companies : acquisitions, mergers, restructurations, joint-ventures and strategic agreements.

COMPLIANCE

The firm advises clients on matters related to ethics and compliance, from adoption of compliance programs, treatment of withleblowing procedures, filing of complaints or negotiation of deferred prosecution agreements with the French National Financial Prosecutor’s Office. It also intervenes in the litigations with French regulators, in particular, securities litigations (the Financial Markets Authority).

CAPITAL MARKETS

The firm advises and assists its clients in connection with their capital market transactions : initial public offering, private placement, capital increase, issue of bonds, issue of hybrid debt securities. The firm is also involved in venture capital transactions and fundraisings.

PRIVATE CLIENTS

The firm regularly advises private clients. The firm assists clients at all stages in the structuring and management of their property interests : establishment of a holding company, organization of governance, preparation of succession.
